Genesee & Wyoming, Inc. [est. 1899] based in Darien, Connecticut is the largest privately-owned shortline operator in the United States
since it was sold in 2019 for $8.4 billion; it operates 120+ shortline railroads on 15,400 track miles in the U.S. and Europe and Australia.
Genesee & Wyoming operates 116 regional & short line railroads in 39 states and 4 Canadian provinces - plus Europe and Australia - for a total of over 15,000 miles of owned and leased track. Recent acquisitions include: the 14 properties of Rail Management Corp. (2005) for $244.7 million; the 47 U.S. & Canadian properties of RailAmerica, Inc. (2012) for $1.39 billion; 3 Arkansas properties from Pinsly (12/2014) for $40 million.
Important subsidiaries include: Atlas Railroad Construction [est. 1954]; Emons Railroad Group [est. 1987, purch 2002]; Genesee & Wyoming Australia [est. 2006]; Genesee & Wyoming Canada, Inc. [est. 1997]; CAGY Industries [purch 2008]; Ohio Central [est. 1988, purch 2008] which operates 10 shortlines; and Rail Link, Inc. which operates 26 switching railroads.
These subsidiaries include Rail Link, Inc. (1996), Genesee & Wyoming Canada, Inc. (1997), Emons Railroad Group (2002), CAGY Industries (2008), and Summit View, Inc. (2008). In 2005, G&W acquired the properties formerly owned by the Rail Management Corporation.
Rail Link, Inc. (reporting mark RLIX), provides industrial switching and related customer logistics services. Rail Link, headquartered in Jacksonville, Florida, serves industrial customers in 13 states and serves more than 30 U.S. ports
On July 23, 2012, Genesee & Wyoming Inc. announced that it intended to purchase RailAmerica in a deal valued at $1.39 billion.[4][5] Approval of the purchase was granted by the U.S. Surface Transportation Board on December 19, 2012.[6]
July 1 2019 U.S. freight railroads operator Genesee & Wyoming on Monday agreed to be acquired by Toronto-based Brookfield Asset Management and Singaporean sovereign wealth fund GIC in a deal valued at about $8.4 billion, including debt. The announcement comes a day after Reuters reported news of the development, citing sources. The Transaction will result in G&W becoming a privately held company. Pursuant to the agreement, each issued and outstanding share of G&W will be converted into the right to receive $112 per share in cash. In July 2019, affiliates of Brookfield Infrastructure Partners and GIC Private Limited announced they had agreed terms to purchase Genesee & Wyoming for $8.4 billion.[25][26] The deal was closed in December 2019.[27] Because Brookfield already has other rail assets in Australia that would likely lead to objections from the Australian Competition & Consumer Commission, G&W's 51% shareholding in Genesee & Wyoming Australia was sold separately and rebranded One Rail Australia.
